NOTICE OF A SPECIAL MEETING OF THE MEMBERS OF VMI ALUMNI ASSOCIATION
To be held June 11, 2022, at 10:00 AM Eastern Time
To be published in The Lexington News Gazette on May 18, 2022, and May 25, 2022, and posted on the VMI Alumni Association website on May 11, 2022
Pursuant to Sections 3.4 and 3.5 of the Bylaws of VMI Alumni Association (“the Association”), the Association’s President, Samuel N. Stocks, hereby calls a Special Meeting of the Members of the Association to be held on June 11, 2022, in Cameron Hall on the VMI Post, Lexington, Virginia, at 10:00 AM Eastern Time.
The sole purpose of the Special Meeting of Members is to elect the following for service on the Association’s Board of Directors:
· One At Large Director to serve for a term ending June 30, 2023.
· Five At Large Directors to serve for a term ending June 30, 2025.
· One Regional Director for Region III to serve for a term ending June 30, 2024.
· One Regional Director for Region VIII to serve for a term ending June 30, 2025.
· One Regional Director for Region XIII to serve for a term ending June 30, 2025.
· Two Regional Directors for Region XIV to serve for a term ending June 30, 2025.
No other matters will be considered at the Special Meeting.
Nominations for At Large Directors and Regional Directors must be submitted in accordance with the procedures set forth in the Nomination and Election Process for VMI Alumni Association Special Meeting of the Members on June 11, 2022(the “Procedures”). The Procedures are available at https:// www.vmialumni.org/aa-special-meeting-notice/.
Nominations made other than in accordance with the Procedures will not be considered at the Special Meeting.
